1. RULES APPLICATION AND INTERPRETATION

1.1. This document is an agreement between us (hereinafter referred to as ZUIKIO) and you (hereinafter referred to as Client or You) regarding the use of the website www.zuikio.com and/or the ZUIKIO mobile application, which can be downloaded from the "Apple App Store" and "Google Play" (hereinafter – the Website).

1.2. By using the Website, you confirm that you have read and understood the terms and conditions of this agreement and the rules (hereinafter – the Rules), agree to the Rules, and commit to adhere to them.

1.3. Use of the Website within the meaning of these Rules includes the performance of all and any actions by the Client upon connecting to the Website using an internet connection. For the purposes of these Rules, services include all and any actions that the Client can perform on the Website, including posting advertisements, reading advertised information, writing questions, feedback and comments, composing direct (online) messages, as well as providing, sending, and receiving any kind of information and/or data, but not limited to these (hereinafter – Services). The Client, by using the Website and/or Services in any way or form, unconditionally and irrevocably commits to comply with all the requirements set out in these Rules. If the Client does not agree to unconditionally and irrevocably assume and comply with all the obligations set out in these Rules, they are not authorised to use any Services and/or the Website.

1.4. Some of the Services provided on the Website are fee-based (hereinafter - Paid Services). Paid Services are described and indicated on the Website, and their cost is specified on the specific Paid Services order page. Throughout these Rules, the reference to "Services" will include all Services, including Paid Services, and the reference to "Paid Services" will include only those Services for which the Client pays a fee.

1.5. All Clients are classified as business and private clients and are defined as follows:

1.5.1. Business Clients are natural and legal persons who, considering the quantity of ads posted, content of ads (for example, descriptions, photos), other related accounts, use the Services for trade, business, craft, or professional purposes (for example, they engage in continuous trading, provide services, sell offspring of pedigree animals, engage in agricultural activity, purchase items, etc.) (hereinafter – Business People);

1.5.2. Private Clients are natural and legal persons who use the Services for purposes not related to their business, craft, or profession (consumer purposes) (hereinafter – Private clients).

1.6. In addition to these Rules, the relationship between the Client and ZUIKIO is regulated by the provisions of the laws of the Republic of Lithuania, special conditions and rules presented on the Website, and established good business practice. Consumer protection requirements do not apply to the contract when the person offering goods or services is not a Business Person.

1.7. If any provision of these Rules contradicts the law or becomes partially or wholly invalid for any reason, it does not render the remaining provisions of the Rules invalid.

2. GENERAL TERMS AND CONDITIONS

2.1 ZUIKIO grants Users access to its online platform, which is the Website. This space allows Users to post, browse, and search for ads related to goods or services they want to offer or obtain (hereafter "Advertisements"). Users can also comment on and send direct messages about these Advertisements and use other features provided by the Services.

2.2 On the Website, Advertisements added by Users are easily distinguishable: those from private individuals are labeled "Private Individual’s Advertisement" in the contact area, while those from businesses are tagged as "Business Client’s Advertisement."

2.3 Users acknowledge and accept that they are solely responsible for any Content they send, receive, or otherwise distribute through the Website and/or Services. For the purposes of these terms, "Content" refers to any Advertisement they post, as well as any text, images, videos, data, databases, symbols, documents, comments, messages, or any other information sent, received, stored, or transmitted via the Services and/or Website.

2.4 Users understand and agree that ZUIKIO does not oversee the Content created by other users, visitors, or third parties that they may encounter, read, or learn about while using the Website or Services. Therefore, ZUIKIO cannot be held liable for the precision, thoroughness, or quality of such Content.

2.5 Users acknowledge that ZUIKIO has the authority to review any transmitted Content to identify any Content considered undesirable by ZUIKIO or breaching these Terms. ZUIKIO has the discretion to either remove or block such Content.

2.6 ZUIKIO is not involved in any transactions related to the Advertisements on the Website whether as a mediator, representative, broker, or in any other capacity. ZUIKIO will not act as an agent for any User.

2.7 Information displayed or made available on the Website should not be interpreted as an offer to contract.

2.8 The contract a User enters into for placing an Advertisement is time-limited, with the duration dependent on the category: most categories allow for 60 days (clothing/footwear for 90 days, long-term home, apartment, and room rentals for 40 days, collectibles, and donations for 30 days). Users can choose to terminate their contract ahead of time by removing their Advertisement; however, they will not receive a refund for any unused period of Advertisement placement. For additional details, refer to section 6.6 of the Terms.

2.9 Any communication between the User and ZUIKIO will take place electronically using the addresses provided in these Terms or as indicated on the Website unless stated otherwise within these Terms.

3. INTELLECTUAL PROPERTY RIGHTS

3.1 All intellectual property rights pertaining to the Website and its entire content and database, such as copyrights, industrial property rights, brand names, proprietary knowledge, business secrets, and manufacturing trade secrets, are owned by or lawfully used by ZUIKIO based on permissions obtained from third parties.

3.2 The Website along with the materials contained within it are protected under intellectual property laws. No part of the Website content or data may be copied, disclosed, or distributed without seeking prior written authorization from ZUIKIO.

3.3 Trademarks showcased on the Website are either the property of ZUIKIO or utilized lawfully by ZUIKIO, with the exception of trademarks submitted by the Website's users.

3.4 By using the Website or its Services, and upon submitting, transmitting, or distributing Content, Users provide ZUIKIO with an irreversible, non-chargeable, eternal, and unrestricted license as allowed by law, to make use of any necessary economic rights to fulfill the privileges and responsibilities emanating from these Terms.

3.5 The parties consent that every time a User submits any Content, the User asserts to ZUIKIO and guarantees possession of all needed rights, consents, and licenses to handle the Content in the manner they are undertaking, which includes employing trademarks and copyrighted material within the Content, and to make that Content available to the public.

4. REQUIREMENTS FOR ADVERTISING CONTENT, STRUCTURE, AND OTHER USAGE GUIDELINES FOR ZUIKIO

4.1. The User agrees to the following:

4.1.1. In the use of the Website and/or Services, observe societal behavioral standards and moral codes, abide by lawful protocols, and avoid violating the rights and legitimate interests of other entities, including laws related to intellectual property, data protection, and advertising standards;

4.1.2. Refrain from any conduct that is unlawful, unethical, or infringes upon the rights of others, including, but not limited to:

4.1.2.1. Avoid exploiting the Services and/or Website in ways that could hinder ZUIKIO's services' efficiency, compromise server security, or the ability to serve other users;

4.1.2.2. Not disseminate, endorse, or transmit content that is legally prohibited, inaccurate, misleading, slanderous, threatening, prejudiced, fraudulent, obscene, or instigates hatred on grounds of nationality, race, ethnicity, religion, or the absence thereof, or that overrides personal rights, or any other content that may defy legal statutes or encourage unlawful behavior that could engender liabilities for ZUIKIO;

4.1.2.3. Abstain from sharing links to any material that could breach applicable laws or third-party rights;

4.1.2.4. Not engage in activities harmful to individuals, their possessions, or their legitimate interests;

4.1.2.5. Avoid sending spam, malware, or other unsolicited content and refrain from transmitting electronic communications that are intended to, or could, disrupt network operations;

4.1.2.6. Not offer for sale goods and/or services that are illegal or deemed unethical, which are detailed in the PROHIBITED ITEMS AND SERVICES IN CLASSIFIED ADS;

4.1.2.7. Not utilize the Website and/or Services for unlawful deeds, transactions, or deceptive schemes;

4.1.2.8. Forgo promoting or disclosing information about companies or products that are in competition with ZUIKIO, including posting links to competitor websites or products. ZUIKIO will designate its competitors, which will be regarded as such upon notification to the User;

4.1.2.9. Not compile or distribute other users' personal data or information regarding their Website activities;

4.1.3. Furnish truthful and thorough personal details, including real name, business credentials, and email address, and specify whether usage is for Business or Private purposes as outlined in the preceding Rules;

4.1.4. Present factual, clear, and comprehensive details about advertised goods and/or services, including their quality, state, attributes, origin, and pricing, presented in the official language;

4.1.5. Safeguard one's login credentials to bar unauthorized access by third parties, except authorized representatives;

4.1.6. Promptly communicate to ZUIKIO any updates to registration or account information by modifying the Website profile;

4.1.7. Immediate notification to ZUIKIO is needed if login information is lost or disclosed to external parties;

4.1.8. Limit advertisements and postings to one item and/or service each, without duplicate Ads for the same product and/or service;

4.1.9. Assign Ads to the appropriate thematic categories;

4.1.10. Refrain from composing Ad texts solely in capital letters;

4.1.11. Desist from posting pointless Ads or those with nonsensical characters and/or words;

4.1.12. Limit one product/service offering per advertisement;

4.1.13. Confine contact details and product/service descriptions to the appropriate fields without incorporating URLs or company names in Ad headlines;

4.1.14. Ensure images in Ads truthfully represent the advertised item, barring instances where the item is new and sealed. Photos must be clear and devoid of extraneous elements;

4.1.15. Avoid incorporating promotional graphics or text in Ad images, except for a discreet company emblem or watermark. Corporate logos may be included in the "Job Offers" category;

4.1.16. Settle accounts for Paid Services with ZUIKIO as dictated in Section 6 of these Rules.

4.2. By accessing any Service, the User acknowledges:

4.2.1. They're a legally competent individual or legitimately represent an entity with the authority to transact as proposed on the Website;

4.2.2. Will honor commitments made in Sections 4.1.1. – 4.1.16.;

4.2.3. Taxes arising from using Services or generated income may be the User's responsibility (such as income tax, VAT, etc.);

4.2.4. Accepting these Rules forms a legal bond with ZUIKIO strictly to the extent clearly outlined herein;

4.2.5. Third parties with access to User credentials could incur obligations the User will be responsible for, and ZUIKIO isn't obligated to validate identity beyond username and password checks;

4.2.6. Acknowledge and consent to ZUIKIO processing personal data in line with the laws of the Republic of Lithuania and the protocols mentioned in Section 7 of these Rules;

4.2.7. Understand and consent that User Ads and content besides contact information may appear on both the Website and partner advertising channels if such services are requested.

4.3. Users aged 7 to 18 further affirm:

4.3.1. They've secured approval from legal guardians prior to offering a product or service, signing contracts, and meeting the resultant duties;

4.3.2. They completely grasp all Rule clauses and realize that using the Website and Services might legally bind them to buy or sell offerings.

5. ZUIKIO reserves certain rights and maintains specific obligations as follows:

5.1. ZUIKIO holds the authority to:

5.1.1. Limit or halt, on a temporary basis, access to Client Content, either in whole or in part, as well as restrict or suspend provision of its Services:

5.1.1.1. In cases where the Client does not fulfill, or inadequately fulfills, the agreements stated in these Guidelines, or does not comply with any prohibitions or limitations;

5.1.1.2. When maintenance or updates to the site are underway, as deemed necessary by ZUIKIO;

5.1.1.3. When obliged by legal directives or required by the laws governing the jurisdiction of the website;

5.1.1.4. To safeguard the legal interests of ZUIKIO or third parties;

5.1.1.5. If there’s a suspicion that the Client’s activities via the Services could jeopardize the security of other Website Clients;

5.1.1.6. If the Client's usage of Services or the Website, or the posting of Advertisements, harms ZUIKIO, including its reputation;

5.1.1.7. In other instances specified within these Guidelines;

5.1.2. Control the Client's ability to post Advertisements and other Content at any time, with the right to eliminate any Website materials that are, in the view of ZUIKIO, in violation of these Guidelines or applicable laws, or are contrary to good morals;

5.1.3. Alter Advertisements and Content as needed, including changing a Client's status if improperly classified or if violations of these Guidelines are identified;

5.1.4. Organize and adjust Advertisements on the Website in a manner that enhances usability, which may include shifting them to different sections without distorting Client information;

5.1.5. Monitor Client actions on the Website, including the oversight of Ads, messages, and comments, and employ legal approaches to investigate any rule breaches;

5.1.6. Terminate a Client's account if they accumulate at least two negative reviews, with deletion being immediate upon the third. Accounts may also be closed if the Client infringes these Guidelines more than three times, with a right to appeal by email. ZUIKIO will make the final decision;

5.1.7. Remove accounts without notification if they remain inactive for over 1 years;

5.1.8. Implement charges for Services as listed on the Website, and provide invoicing upon request;

5.1.9. Impose a contractual penalty of 10 EUR for Client breaches of obligations mentioned in Guidelines 4.1.1 – 4.1.16;

5.1.10. Involve third-party services for any task related to these Guidelines without separate notice, and to transfer its own rights and duties, in full or part, to third parties;

5.1.111. Remove images uploaded by Clients that contain more than one ZUIKIO watermark, without providing prior notice.

5.2. Clients will receive email notifications regarding penalties for breaching the Guidelines. Should a violation occur, any extra purchased Services will be voided, and payments will not be returned.

5.3. Business Clients will be notified via emailed contact at least 30 days ahead of any service discontinuation by ZUIKIO, along with the reasons. However, if the Business Client has numerous recurring infractions, ZUIKIO may cease services immediately and provide immediate explanation via email.

5.4. The Parties accept that ZUIKIO may halt operations of the Website at their discretion.

6. PAID SERVICES

6.1. The specifics and usage terms for Paid Services are detailed on the Website, with pricing clearly indicated on the corresponding order page for each Paid Service.

6.2. The Client acknowledges and accepts that delivery of Paid Services will commence once the Client has made full payment for these services on the Website using the specified payment method. ZUIKIO reserves the right to modify the prices of any Paid Services and available payment options at its discretion without prior notice.

6.3. In instances where the Client's access to Paid Services is limited, suspended, or if the Client experiences delays or non-receipt of Paid Services, not due to any violation of these Terms or as outlined in section 5.1.6 of these Terms, ZUIKIO pledges to extend the delivery period of the Paid Services for the duration they were unavailable or offer the Paid Services at no additional cost, providing an equivalent to the missed Paid Services, so long as they are not part of a continuous service.

6.4. If any Advertisements or Content are removed or canceled as a result of the Client breaching these Terms, the fees paid for such services will not be refunded.

6.5. ZUIKIO maintains the right to temporarily halt or restrict service offerings to Clients as needed for maintenance purposes, ensuring a reasonable interruption period. Clients utilizing Paid Services will be notified about the commencement of maintenance at least 24 hours in advance through email or another appropriate communication channel, depending on the Services utilized. ZUIKIO may offer an extension or complimentary equivalent Paid Services for the disruption period, though this is not guaranteed.

6.6. Purchasing Paid Services entitles the Client to post a single Advertisement unless otherwise specified. Opting for a Paid Service for a set duration (e.g., 30 days, 60 days) requires the Client to engage with the Service for at least the full offered period (the Minimum Period). In the event a transaction related to the Advertisement is concluded before the Minimum Period ends (such as the item being sold) or the Client cancels the Advertisement, or should the Advertisement be canceled due to the Client’s own actions, the fee for the residual Minimum Period will be neither refunded nor applicable towards another Advertisement.

6.7. If the Client switches an Advertisement to inactive status or if the display of an Advertisement is stopped due to the Client's negligence, the time during which the Advertisement is inactive will count towards the Minimum Period, which cannot be transferred or extended based on the period the Advertisement was not active on the Website.

6.8. After a transaction related to the Advertisement has been completed (such as a sale or rental), the left-over balance of the Minimum Period cannot be applied to a different Advertisement. The Client is prohibited from posting a new, distinct Advertisement in place of the previous one. If a Paid Service was mistakenly used for another Advertisement, ZUIKIO retains the right to revoke such an Advertisement, issue a warning to the Client, or demand payment as for a new post. This Advertisement will be reinstated only after proper payment has been made. If the Client declines to pay, the Advertisement will be removed.

6.9. If the Service agreement is terminated by the Client before the Minimum Period expires, either out of fault or by their choice, the Client is obliged to compensate ZUIKIO with an amount equivalent to the fee for the particular Paid Service from the day of withdrawal to the conclusion of the Minimum Period. This compensation will be deducted from the Client's initial payment for the Paid Service.

7. PERSONAL DATA MANAGEMENT

7.1. ZUIKIO collects and processes Users' personal information both at the time of registration and during future use of the Website. Such information is handled in accordance with legal standards, ensuring it is collected, handled, stored, and shared legally, transparently, and appropriately, and is limited strictly to the purposes for which it is processed. The management of personal data by ZUIKIO is governed by these terms as well as the ZUIKIO Privacy Policy.

7.2. ZUIKIO respects and upholds the rights of its Users regarding their personal data as stipulated by the General Data Protection Regulation, the Personal Data Protection Law of the Republic of Lithuania, and other legislative acts governing data processing. The ZUIKIO Privacy Policy details these rights and the methods to exercise them.

8. PROTECTION OF INFORMATION

8.1. ZUIKIO commits to processing users' personal information in a way that ensures its secure handling, including safeguarding against unauthorized or illegal processing, as well as protection from accidental loss, destruction, or damage, by employing suitable technical and organizational safeguards.

8.2. ZUIKIO advises Users to maintain the confidentiality of their login details. Users are urged to be vigilant in securing their login information and to always log out of their accounts after using the website, particularly on computers that are publicly accessible, such as those in internet cafes or libraries.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1. Users agree that ZUIKIO is not liable for any interruptions or malfunctions of the Website and/or Services that are beyond ZUIKIO's control, nor for any resulting losses or damages that affect Users or third parties.

9.2. ZUIKIO does not hold responsibility for the quality, quantity, and completeness of the merchandise or services purchased or obtained through the Website and/or Services.

9.3. Users acknowledge and attest that the Website and/or Services are provided 'as-is' and that ZUIKIO makes no claims concerning uninterrupted or error-free functioning, nor regarding the quality or integrity of the Website or Services, nor that their usage will be free from negative impacts on the User or third parties. ZUIKIO is not accountable for any unlawful behavior, mismatches, inaccuracies, or mistakes (except for the information supplied directly by ZUIKIO) found on the Website and any resulting negative consequences for Users or third parties.

9.4. ZUIKIO is not liable for any harm and/or losses incurred by the User through the use of the Website and/or Services or through transmitting, sharing, or making publicly available any information, including comments and/or direct messages.

9.5. In consideration of Sections 9.1 and 9.3, Users agree that ZUIKIO will not be accountable for any actions or negligence pertaining to their use of the Website and/or Services or adherence to these terms. Users bear sole responsibility and are obligated to rectify any damage or losses caused to themselves or third parties resulting from their use of the Website or Services, or from any information obtained from the Website.

9.6. Users ensure that ZUIKIO will not face any legal liabilities, nor will it be obliged to pay, reimburse, or cover any losses, damages, or costs that arise from the User's use of the Website and/or Services.

9.7. Users acknowledge that ZUIKIO is not liable for services not provided or delayed due to issues caused by third parties, including, but not limited to, internet or mobile communication providers, email service providers, etc. If Users are unable to access Paid Services due to third-party errors, the payment for such Paid Services is non-refundable.

9.8. Any liability ZUIKIO may have to the User or third parties under these terms is capped at a total of 29 Euros.

10. AMENDMENTS TO THE RULES

10.1. ZUIKIO reserves the right to adjust, revise, or enhance these Rules at its discretion for legitimate reasons, such as compliance with laws, regulatory requirements, or security issues, as necessitated by relevant legislation.

10.2. ZUIKIO will inform Business Users of any Rule amendments by emailing the version to the address registered by the Business User on the Website, at least 15 days before the anticipated implementation date. Furthermore, the amended Rules will be accessible on the Website. Users are deemed to have accepted the revised Rules if they:

10.2.1. Do not express any objection to the Rule changes before the intended effective date and maintain their use of the Website; and

10.2.2. Are properly notified about the modifications.

10.3. Users who do not accept the revised and/or supplemented Rules forfeit their right to use the Website and/or Services.

10.4. Business Users can terminate their agreement with ZUIKIO in response to Rule changes by communicating their decision to terminate before the updated Rules come into effect. Such termination is effective within 15 days from the date ZUIKIO is informed of the decision. The Business User can choose to forego the 15-day period by written consent or a clear indication of such intent.

10.5. If the Business User continues to engage with the Services or the Website after the Rule amendments—including extending Services, ordering new Services, or modifying Ads—their actions confirm acceptance of and full agreement with the changes.

10.6. Services commissioned by Clients prior to the Rule amendments will be delivered according to the Rules that were effective at the time of the order.

10.7. ZUIKIO also holds the right to update or alter the list of prohibited goods and/or services, those conflicting with the law or ethical standards, detailed in section 4.1.2.6, without prior notification to the User.

11. CHANGES TO SERVICES

11.1. ZUIKIO may enhance or alter the Website and its array of Services without prior notice, for reasons including technical standards, security needs, service quality, offerings, or client accommodation. As a result, changes in Services and/or their pricing may occur unilaterally. Once changes are implemented, Customers will be required to accept them to continue using the Services.

11.2. Updates to Services will not incur additional charges for Private customers. ZUIKIO will email details of impending Service updates to the Private customer 30 days before they are implemented.

11.3. Private customers hold the right to terminate their Paid Service contracts within 30 days of receiving notice or from the enactment date of the changes (whichever is later), should the changes compellingly affect the customer's access or usage of the Paid Services, barring negligible impacts.

11.4. Unless otherwise specified, Customers consent to receive notifications of any Service updates via email 30 days prior to their start, sent to the email address given to ZUIKIO at registration.

11.5. Customers commit to reviewing their specified email at least monthly, the address of which was provided for account setup on the platform.

12. RIGHTS OF PRIVATE CUSTOMERS IN CASES OF INTERRUPTION OR INFERIOR QUALITY OF PAID SERVICES

12.1 A Private customer is entitled to expect that ZUIKIO begins delivering the Paid Services promptly upon entering the contract, unless a different arrangement has been mutually agreed upon. Should ZUIKIO fail to provide the Paid Services right away, or within an alternative agreed period, the Private customer retains the right to dissolve the contract unilaterally.

12.2 In instances where Paid Services are delivered with unacceptable quality, the Private customer can insist on rectification of the issues, receive a discount, or opt to end the contract unilaterally.

12.3 A Private customer is justified in requesting correction of any discrepancies in the Paid Services, given it is feasible and doesn't impose unreasonable expenses on ZUIKIO, considering:

12.3.1. The estimated worth of the Paid Services had they been provided without defects;

12.3.2. The gravity of the issues encountered.

12.4 The Private customer is entitled to either a price reduction or to cancel the contract unilaterally under the following conditions:

12.4.1. Correcting the deficiencies is unfeasible for ZUIKIO, or the cost of rectification is excessively burdensome relative to all circumstances;

12.4.2. ZUIKIO has not addressed the deficiencies within a suitable timeframe, at no charge, and without considerable trouble to the Private customer, as per the character of the Paid Services required by the Private customer;

12.4.3. Defects present after ZUIKIO already endeavored to provide Paid Services of appropriate quality;

12.4.4. The defect is of serious nature;

12.4.5. ZUIKIO has announced, or it is evident from the situation, that the deficiencies in the Paid Service will not be resolved promptly, or that rectification would cause substantial inconvenience to the Private customer.

12.5. The Private customer holds the right to end the contract only if the Service's defect is more than minor.

12.6. The Private customer can execute their right to cancel the contract by delivering a written notice to ZUIKIO, stating their decision to withdraw from the contract due to inferior quality Paid Services. Once the contract is terminated, ZUIKIO is obliged to reimburse all fees paid by the Private customer corresponding to the timeframe when the compromised Paid Services were supplied, within 14 days from the contract's cessation, utilizing the same payment method the Private customer employed for purchasing the Paid Services.

13. RIGHT TO RESCIND THE CONTRACT

13.1 The private client acknowledges having consented that service provision, such as advertisement postings on ZUIKIO and procurement of supplementary services, starts right after payment, and thus is non-cancellable. As a result, the private client accepts that they are not entitled to the standard 14-day cooling-off period afforded by distance contracts. The private client is, therefore, advised to consider their service requirements thoroughly before making an order and completing the payment process. If a private client deactivates or withdraws their advertisement, no refunds are given for any advanced services, and the period of service is neither extended nor transferable to another advertisement.

13.2 The client is liable to pay damages to ZUIKIO that equate to the remaining cost of the Paid Service from the moment of cancellation to the agreed Minimum Duration if the contract is terminated prematurely due to the client's fault or at their behest. This sum is subtracted from what the client has already paid for the Paid Service. This stipulation doesn't apply where the private client terminates the contract over alterations in Paid Services provision, non-provision, or compromised quality following the termination procedures highlighted in sections 11 and 12 of these rules.

14. DATA MANAGEMENT

14.1. Any information that a client provides during the sign-up process or through the utilization of ZUIKIO, as well as information gathered indirectly (hereinafter referred to as "Information"), is handled by ZUIKIO in a legal, transparent, and fair manner. The purposes for which the Information is processed are clearly defined, and the processing is confined to what is necessary to fulfill these purposes. The handling of the client’s Information adheres to these Regulations and the Privacy Policy provided by ZUIKIO.

14.2. Information is processed in order to deliver services effectively to clients (for instance, for posting ads or requesting a specific service). Moreover, Information is handled for purposes such as registering and managing the advertisement database on the platform, and for conducting direct marketing as well as promotional activities like games, quizzes, and competitions. ZUIKIO maintains Information in an electronic format and provides clients the ability to review their submitted data by signing into their accounts, as long as those accounts remain active. If an account is deleted, clients forfeit access to their uploaded Information and Content.

14.3. ZUIKIO assures its clients that their Information will not be sold, shared, or otherwise transferred to unrelated third parties without a valid reason, and it will not be employed for anything other than its intended purpose. ZUIKIO only shares Information in line with its Privacy Policy or as required by law.

15. PRODUCT GUARANTEES

15.1. ZUIKIO reminds individual users of the statutory warranties that apply to the quality of digital content and services.

16. FEEDBACK

16.1. The platform facilitates the posting of user reviews for products advertised through classified ads.

16.2. Measures are taken to ensure the genuineness of reviews posted on the platform.

17. DISPUTE RESOLUTION

17.1. In the event that an Entrepreneur or ZUIKIO wishes to engage in mediation to settle a disagreement, ZUIKIO collaborates with designated mediators, about whom you can find information here and here. However, ZUIKIO and the Entrepreneur reserve the right to select an alternative mediator if deemed necessary.

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1 The present regulations are subject to and construed in accordance with the laws of the Republic of Lithuania.

18.2 Any disagreements arising between ZUIKIO and the User pertaining to the enforcement of these regulations shall first attempt to be settled through amicable discussions. Failing resolution via negotiation, such disputes shall ultimately be adjudicated by the competent courts, following the legal process stipulated by the laws of the Republic of Lithuania.

18.3. ZUIKIO provides an in-house dispute resolution mechanism at no cost for Entrepreneurs (hereafter referred to as the “System”). Entrepreneurs who wish to lodge a complaint within this framework may do so by accessing the "Submit a Complaint" feature and choosing the relevant category of grievance. The complaint should include as detailed an account of the issue as possible. In response to the complaint, ZUIKIO will acknowledge receipt and undertake to resolve the matter expediently, exerting every reasonable effort, considering the nature and gravity of the complaint. Upon evaluating the complaint, ZUIKIO will issue a response using the contact details supplied by the Entrepreneur.

18.4. Entrepreneurs are entitled to file a complaint through this system regarding the following matters:

18.4.1. Any suspicion of non-compliance by ZUIKIO with its contractual responsibilities as delineated in the Regulation 2019/1150 of the European Parliament and Council, which detrimentally influences the Entrepreneur's business;

18.4.2. Technical difficulties encountered with regard to the Services provided that affect the Entrepreneur;

18.4.3. Any conduct by ZUIKIO, or its representatives, in relation to the delivery of Services that has had a negative impact on the Entrepreneur.

18.5. Individual users with concerns or complaints about the operations and services of ZUIKIO are required to first issue a written notice to the platform, detailing their claims. This notification should be directed to [email protected]. Should the user find the response from ZUIKIO unsatisfactory, they have the option to contact the State Consumer Rights Protection Authority at Vilnius Street 25, LT-01402 Vilnius, browse the website www.vvtat.lt, or submit a complaint via the Online Dispute Resolution platform accessible at http://ec.europa.eu/odr/. Any legal conflicts will be resolved as per the established legal frameworks.
